Terms & Conditions
The terms that apply to every Belvant project, including how milestones, payment and refunds work.
Effective October 30, 2026
01About these terms
These Terms & Conditions govern all services provided by Belvant ("Belvant", "we", "us") to any client ("you"). By engaging us, approving a written scope or paying an invoice, you agree to these terms.
Where a signed written agreement or statement of work conflicts with these terms, the written agreement takes priority for that project.
02Definitions
Consult means the initial no-cost discussion before any work is agreed. Scope means the written description of deliverables, milestones, fees and timelines agreed for a project. Milestone means a defined stage of work with a stated deliverable. Approval means your written confirmation, including by email, that a milestone meets the agreed outcome.
03Consultation and scope
Every project begins with a consult at no cost and no obligation. No work starts until the scope, milestones, fees, currency and timelines have been agreed in writing.
Changes to the scope after agreement are documented in writing and may adjust fees or timelines. We will not carry out out-of-scope work without your written agreement.
04Milestones and approval
Work is delivered in the milestones set out in the scope. When a milestone is complete, we submit it for your review.
You agree to review submitted work within ten (10) business days. If you need changes, tell us what is required. A milestone is complete only when you approve it.
05Revisions
Reasonable revisions needed to reach the agreed outcome of a milestone are included in the fee and are not charged separately.
Requests that change the agreed outcome, add new deliverables or reverse previously approved work are treated as scope changes under section 3.
06Fees, invoicing and payment
An invoice is issued only after a milestone has been completed, revised as reasonably needed and approved by you. We do not charge for undelivered work.
Fees are stated and invoiced in Canadian dollars (CAD) unless the written agreement says otherwise. Invoices are payable within fourteen (14) days of issue.
Payment is accepted through Stripe and PayPal. Payment card details are processed by those providers and are never stored by Belvant. Applicable taxes, including HST, are added where required by law.
07No deposits
Belvant does not take deposits, retainers or any upfront payment for work that has not been delivered and approved.
08Cancellation and refunds
Either party may end a project by written notice. If a project cannot be completed for any reason, you will receive a pro rata refund for any milestone that was paid but not delivered.
If work was carried out on a milestone that was not reached or approved, that work is not charged.
Approved and paid milestones are final, except where a refund is required under this section or by law. Refunds are returned through the original payment method within fourteen (14) days.
09Your responsibilities
You agree to provide accurate information, timely access to the people, systems, accounts and materials we reasonably need, and prompt feedback on submitted work. Delays caused by missing information or access may extend agreed timelines.
You confirm that any material you provide to us, including logos, images, text and data, is yours to use or properly licensed.
10Intellectual property
On payment for an approved milestone, ownership of the final deliverables for that milestone transfers to you, including brand guidelines, copy, creative, prompt libraries, documentation and custom code written for you.
We keep ownership of our pre-existing tools, methods, templates and general know-how, and grant you a non-exclusive, perpetual licence to use any of them included in your deliverables. Third-party software, fonts, models and platforms remain subject to their own licences.
Unless you object in writing, we may describe the general nature of the work in our portfolio without disclosing confidential information.
11Confidentiality
Each party will keep the other's confidential information private and use it only for the project. This does not apply to information that is public, already known to the receiving party, or required to be disclosed by law. This obligation continues after the project ends.
12AI tools and third-party services
Some services involve third-party AI models, APIs and software. These are provided by their own vendors under their own terms, pricing and availability, which may change. Ongoing usage fees for such services, such as API or subscription costs, are paid by you directly unless the written agreement says otherwise.
We design integrations to follow reasonable data-handling practices and will agree with you in writing what data may be sent to third-party services. AI output can contain errors, and you remain responsible for reviewing it before relying on it in your business.
13Advertising spend and results
Advertising budgets are paid by you directly to the advertising platforms and are separate from our fees. We do not hold or spend ad budget on your behalf unless agreed in writing.
Advertising performance depends on factors outside our control, including market conditions, platform rules and competitor activity. We do not guarantee specific results, rankings, leads or revenue. Ad accounts are set up in your name and remain yours.
14Limitation of liability
To the extent permitted by law, Belvant's total aggregate liability arising out of or relating to these terms or any services, whether in contract, tort or otherwise, is limited to the total fees you paid to Belvant in the twelve (12) months before the event giving rise to the claim.
We are not liable for indirect, incidental, special or consequential losses, including lost profits, lost data or business interruption. Nothing in these terms limits liability that cannot be limited under applicable law.
15Indemnity
You agree to indemnify Belvant against claims arising from material you supplied, your use of the deliverables in breach of law or third-party rights, or your breach of these terms.
16Termination
Either party may terminate a project immediately by written notice if the other materially breaches these terms and does not remedy the breach within fourteen (14) days of being notified. On termination, section 8 applies to fees and refunds, and sections 10, 11, 14 and 15 continue to apply.
17Privacy
We collect only the personal information needed to respond to enquiries and deliver services, including information submitted through our contact form. We handle it in line with applicable Canadian privacy law, including PIPEDA, and do not sell it. You may ask to access or correct your information by contacting us.
18Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. The parties submit to the exclusive jurisdiction of the courts of Ontario.
19Changes to these terms
We may update these terms from time to time. The version in effect when a scope is agreed applies to that project. The effective date below shows when these terms were last updated.
